Please read these Terms and Conditions carefully before using our website or engaging our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.

1. About Us

Chaturvedi Software House LLC is a UAE-based software company. We provide ERP solutions, custom software development, mobile and web applications, and related technology services. We are a Tally Gold Certified Partner and GCC Solution Hub for eResource ERP.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that:

You are at least 18 years of age or a legally registered business entity.
You have the authority to enter into a binding agreement.
You accept these terms in full.

3. Services

CSH provides the following services:

ERP implementation and support (Tally, eResource ERP)
Custom web and mobile application development
UAE E-Invoicing compliance solutions
Annual Maintenance Contracts (AMC) for hardware and software support
Tally Software Subscription (TSS) renewals and activations
IT consulting and digital transformation advisory

Specific deliverables, timelines, and fees are agreed upon in a separate written proposal or contract for each engagement.

4. Client Responsibilities

Clients are responsible for:

Providing accurate and complete information required for service delivery.
Timely review and feedback on deliverables.
Ensuring that any data or content provided to us does not violate any third-party rights or applicable laws.
Maintaining secure credentials for any software or systems we provide.

5. Intellectual Property

All software, code, documentation, and materials developed exclusively for a client under a paid engagement become the client’s property upon full payment, unless otherwise stated in the project agreement.

CSH retains ownership of all pre-existing tools, frameworks, libraries, and proprietary methodologies used in service delivery. General-purpose tools, templates, or components developed by CSH during the engagement remain the property of CSH.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives the termination of the service agreement.

7. Limitation of Liability

CSH is not liable for:

Indirect, incidental, or consequential damages arising from use of our services or products.
Data loss or corruption caused by client-side errors, hardware failures, or third-party software.
Delays caused by incomplete client inputs, third-party dependencies, or events outside our control.

Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

8. Payment Terms

Unless otherwise stated in the project agreement:

Invoices are due within 30 days of the invoice date.
Delayed payments may attract a late payment charge as specified in the contract.
Work may be paused on accounts with outstanding dues beyond 60 days.

9. Termination

Either party may terminate a service agreement by providing written notice as specified in the contract. In the event of termination:

Fees for completed work to date are payable in full.
Any advance paid for unstarted phases will be refunded per the Refund Policy below.

10. Governing Law

These terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the courts of Dubai, UAE.

11. Changes to These Terms

CSH reserves the right to update these terms at any time. The most current version will always be published on our website. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
